Halina André operates this store and website, including all related information, content, features, tools, products and services, in order to provide licensed skincare professionals and the businesses they operate with a curated professional ordering experience (the "Services"). Halina André is powered by Shopify, which enables us to provide the Services to you.

This store is a professional and wholesale channel. The products sold here are intended for use by licensed skincare professionals in treatment and for resale to their clients as described below. The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.

By applying for a professional account, visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

SECTION 1 - PROFESSIONAL ACCOUNTS AND ELIGIBILITY

The Services are available only to licensed skincare professionals (including licensed estheticians, cosmetologists, nurses, and physicians practising within the scope of their license) and to spas, clinics, salons, and similar businesses that employ them (each a "Professional Account"). By applying for or using a Professional Account, you represent and warrant that you are at least the age of majority in your state of residence, that you or your business holds a current, valid license to perform skincare services in your jurisdiction, and that you are authorized to enter into these Terms on behalf of the business named on the account.

To open a Professional Account you will be asked to provide information including your name, business name and address, email address, telephone number, professional license details, and, where applicable, your sales tax or resale documentation. We may ask for supporting documents such as a copy of your license. You represent and warrant that all the information you provide is correct, current and complete and that you have all rights necessary to provide it. You agree to keep this information up to date and to notify us promptly if your license lapses, is suspended, or is revoked, or if your business closes or changes ownership.

We review every application and may approve, decline, suspend, or close a Professional Account at our sole discretion and without giving a reason. Prices and the ability to purchase are visible only to approved accounts.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account, including orders placed by your staff. You may not transfer, sell, assign, share, or license your account to any other person or business.

SECTION 2 - OUR PRODUCTS

Our products are professional skincare formulations. We have made every effort to provide an accurate representation of our products in our online store. However, please note that colors or product appearance may differ from how they appear on your screen due to the type of device you use to access the store and your device settings and configuration.

All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product, to change formulations, packaging, or sizes, and to limit the quantities of any product that we offer to any account, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 - PROFESSIONAL USE AND RESPONSIBILITY

You acknowledge that you are a trained professional and that you, not Halina André, are responsible for determining whether a product is suitable for a particular client, for performing any patch or sensitivity testing you consider appropriate, for following the usage protocols and contraindications we provide, and for the outcome of any treatment you perform. Nothing on the Services constitutes medical advice.

You agree to store, handle, and use our products in accordance with the instructions and protocols we provide, to use them only within their shelf life, and not to alter, dilute, repackage, relabel, or combine them with other products in a way that changes what is sold to or used on a client under the Halina André name.

SECTION 4 - ORDERS

When you place an order, you are making an offer to purchase. Halina André reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until we confirm acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after an order is accepted. If we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the email, billing address, and/or phone number provided at the time the order was made.

All orders are subject to a $130 minimum, calculated on product subtotal before shipping and tax. Orders below the minimum may be declined or held until the minimum is met.

All professional and wholesale orders are final sale. Returns, refunds, and credits are available solely in accordance with our Returns & Claims Policy, which covers damaged, defective, and incorrect items only.

SECTION 5 - PERMITTED USE AND RESALE

Products purchased through the Services may be used only (a) in professional treatments performed at your licensed business, and (b) for resale to your own clients at your licensed business location or through your own business website. This is the "Permitted Use."

You agree that you will not, without our prior written consent:

• sell, list, or offer our products on any third-party online marketplace, including Amazon, eBay, Walmart Marketplace, Etsy, TikTok Shop, Facebook Marketplace, or any similar platform;
• sell our products to other retailers, distributors, resellers, or professionals for onward sale;
• export our products or sell them for use outside the United States;
• sell our products in damaged, expired, tampered-with, or repackaged condition, or in a manner that misrepresents them; or
• use our trademarks, product names, images, or descriptions in a way that suggests you are Halina André, an authorized distributor, or anything other than an independent professional account.

[OPTIONAL — MINIMUM ADVERTISED PRICE. DELETE IF YOU DON'T WANT TO SET ONE: Where we publish a suggested retail price or minimum advertised price for a product, you agree not to advertise that product below that price. This does not restrict the price at which you actually sell.]

Breach of this section may result in immediate suspension or closure of your Professional Account and cancellation of open orders, in addition to any other remedies available to us.

SECTION 6 - PRICES AND BILLING

Professional prices, discounts and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.

Professional prices are confidential to your account and are not to be published or shared. Prices posted in this store may be different from prices offered on halina-andre.com or by other sellers. We may offer promotions from time to time that are governed by terms separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

Orders are paid in full at checkout unless we have agreed other payment terms with you in writing. You agree to provide current, complete and accurate purchase, payment and account information for all purchases and to promptly update your account and other information, including your email address and payment card details, so that we can complete your transactions and contact you as needed.

Where you provide us with a resale certificate or tax-exemption documentation, you are responsible for its accuracy and for any tax, interest, or penalties arising from its use. You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are duly authorized to use the payment method for the purchase, (iii) charges incurred by you will be honored by your card issuer or bank, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any.

SECTION 7 - SHIPPING AND DELIVERY

Shipping is governed by our Shipping Policy. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers or events outside our control. Once we transfer products to the carrier, title and risk of loss pass to you. Please inspect every shipment on delivery; claims for damaged, defective, incorrect, or missing items must be made within 5 business days of delivery as set out in our Returns & Claims Policy.

SECTION 8 - INTELLECTUAL PROPERTY AND LIMITED MARKETING LICENSE

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Halina André, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.

While your Professional Account is in good standing, we grant you a limited, non-exclusive, non-transferable, revocable license to use the product names, product images, and product descriptions we make available for that purpose solely to promote and sell Halina André products within the Permitted Use, for example on your service menu, in your treatment room, on your website, and on your social media channels. You must not alter our images or logos, remove our trademark notices, or use our materials in a way that is misleading or damaging to the brand. This license ends automatically when your account is closed.

Except for the license above, you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Halina André, Shopify or any third party. All rights not expressly granted herein are reserved by Halina André.

Halina André's names, logos, product and service names, designs, and slogans are trademarks of Halina André or its affiliates or licensors. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 9 - OPTIONAL TOOLS

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). Halina André is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Halina André. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Halina André, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Halina André.

SECTION 12 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy, which can be viewed here. By using the Services, you acknowledge that you have read these privacy policies.

You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third-party.

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. You may close your Professional Account at any time by contacting us. On termination or closure, the marketing license in Section 8 ends and you must stop using our materials, though you may sell through any product you have already purchased within the Permitted Use.

The following sections will continue to apply following any termination: Permitted Use and Resale, Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 17 - DISCLAIMER OF WARRANTIES

The information presented on or through the Services, including usage protocols and product education, is made available for the guidance of trained professionals and does not replace your professional judgment. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of its contents.

EXCEPT AS EXPRESSLY STATED BY HALINA ANDRÉ, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 18 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL HALINA ANDRÉ, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM AN ORDER SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS THAT ARE THE SUBJECT OF THAT CLAIM.

SECTION 19 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Halina André, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, (3) your access to and use of the Services, or (4) any treatment or service you perform using our products, or any resale of our products by you.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.

You and Halina André consent to the exclusive venue and personal jurisdiction of the state and federal courts located in Travis County, Texas.
